1. Acceptance of Terms

By accessing or using ScanShield ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including shop owners, team members, and API consumers.

2. Description of Service

ScanShield provides automated compliance scanning for e-commerce product listings, primarily focused on TikTok Shop. The Service includes a web dashboard, browser extension, REST API, and automated scanning capabilities. The Service helps identify potential compliance issues but does not constitute legal advice.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and API keys. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription Plans & Billing

The Service offers tiered subscription plans (Starter, Growth, Scale) with varying features and scan limits. The Starter plan includes a 14-day free trial with no credit card required; Growth and Scale plans begin immediately upon checkout with no trial period. Billing is processed through Paddle. You may cancel your subscription at any time; access continues until the end of the current billing period.

Prices are subject to change with 30 days' notice
Refunds are available within 7 days of initial purchase
Scan limits reset at the beginning of each billing cycle
Unused scans do not roll over to the next period

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to reverse-engineer, decompile, or disassemble the Service
Share API keys or account credentials with unauthorized parties
Exceed your plan's scan limits through automated means
Use the Service to harass, abuse, or harm others
Interfere with or disrupt the Service's infrastructure
Resell or redistribute the Service without written permission

6. Intellectual Property

The Service, including its compliance rules, scanning algorithms, and user interface, is protected by intellectual property laws. You retain ownership of your listing data. We retain ownership of all scan results, compliance scores, and analytical outputs generated by our engine.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. ScanShield does not guarantee that compliance scans will identify all potential violations or that following our recommendations will prevent enforcement actions. The Service is a tool to assist with compliance, not a substitute for professional legal counsel.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ScanShield shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless ScanShield and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may export your data within 30 days of termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
